Airline was founded by group of investors who purchased rights to original Pan American brand. One of the investors was Charles Cobb (former US Ambassador to Iceland) and Martin Shugrue who was former COO of the original Pan Am Airway. Airline started operations in September 1996 using second hand Airbus A300s on routes between New York, Miami, Los Angeles, and San Juan PR carrying local traffic and connecting traffic from other carriers. On October 11, 1996, it changed its name to Pan American World Airways. Pan Am acquired Carnival Airlines on September 26, 1997, but both carrier operated separately on separate AOCs. Airline quickly ran out of cash and had to file for bankruptcy protection in January 1998. Carnival Air Lines was not fully integrated into new Pan Am at that time and its AOC was passed on to the third reincarnation of Pan Am brand when Guilford Transportation Industries, which operates railroad in New England, purchased the Carnival Air Lines part of the business along with the rights to the Pan Am brand.
